Valkyr360 Terms of Service

Effective date: October 23, 2026 · Last updated: October 23, 2026

Key points

1. About these Terms

1.1 These Terms of Service ("Terms") are an agreement between you and HillIndustries, doing business as Hill Systems ("Hill Systems," "we," "us"). They cover your use of Valkyr360, including the website at https://valkyr360.com, the web application, and any related features, imports, exports and support (together, the "Service").

1.2 You accept these Terms when you create an account, check the box to agree, start a trial, or use the Service. If you are accepting on behalf of a company, flight department or other organization, you confirm that you have authority to bind it. In that case, "you" and "Customer" mean that organization.

1.3 If you don't agree to these Terms, don't use the Service.

2. Eligibility and accounts

2.1 You must be at least 18 and able to enter a binding contract. The Service is intended for aircraft owners, operators, flight departments, management companies and their personnel.

2.2 You must give accurate sign-up and billing information and keep it up to date.

2.3 Keep your login credentials confidential. Don't share them, and tell us promptly at the contact in Section 23 if you suspect someone has used your account without permission. You are responsible for activity under your account, except activity caused by our own breach of these Terms.

2.4 You may not use the Service if you are barred from receiving it under U.S. law, including sanctions laws (see Section 13).

3. Account owners, users and roles

3.1 Each subscription has an account owner. The owner controls billing, the subscription, the aircraft on the account, and who has access.

3.2 The owner may invite other people ("users"), such as pilots, mechanics, managers or staff, and assign them roles that set what they can see or change.

3.3 The account owner is responsible for:

3.4 Users act on the account owner's behalf. If a user is not the account owner, the owner's subscription and data choices control.

4. Valkyr360 is a tracking aid, not the official aircraft record

Please read this section carefully.

Valkyr360 helps you organize and track maintenance, inspections, airworthiness directives (ADs), squawks, logbook information, documents, flight and engine data, and costs. It is a tracking and organizing aid only. It does not replace your official aircraft records or the signed entries of certificated mechanics, inspectors or repair stations.

4.1 You remain responsible. The registered owner or operator stays solely responsible for:

Using Valkyr360 does not transfer or share any of these responsibilities with Hill Systems.

4.2 No airworthiness determination or return to service. Nothing in the Service is any of the following:

The following are estimates based on the data entered or imported, and they may be wrong:

4.3 Verify everything. Before you rely on the Service for any flight, maintenance or compliance decision, check the following against your official records, current FAA publications, manufacturer data, and a qualified, certificated mechanic or inspector:

4.4 Keep your official records. Keep your original logbooks and official records, including the paper originals and any required signed entries, as the law requires, even if you scan or import them into Valkyr360. Scans and imports in the Service may be incomplete, unreadable or out of date.

4.5 Certificate holders. If you operate under 14 CFR Part 91 subpart K, 121, 125, 133 or 135, or you are a Part 145 repair station, you are solely responsible for obtaining and maintaining any FAA acceptance, approval or authorization (such as OpSpec A025) for any electronic recordkeeping or signature system you use. Hill Systems does not represent that the Service has been approved or accepted by the FAA for any purpose. We may provide reasonable information about the Service on request, but we have no obligation to do so.

4.6 Pilot-in-command responsibility is not affected by anything in the Service.

5. No aviation, legal, maintenance or financial advice

The Service, its content, reminders, reports, and any support or communications from Hill Systems are general information only. They are not aviation, maintenance, engineering, airworthiness, legal, tax or financial advice. Hill Systems is not a repair station, maintenance provider, inspector, or air carrier. Consult qualified professionals for those decisions.

6. Third-party data, imports and names

6.1 The Service may use or import data from third parties. Examples include:

6.2 Third-Party Data may be inaccurate, incomplete, delayed, withheld, or formatted in ways the Service misreads. Imports may fail or map fields incorrectly. Hill Systems does not control and does not guarantee Third-Party Data. You are responsible for checking imported data before relying on it.

6.3 Only import files you have the right to use. Your use of third-party products remains subject to their own terms.

6.4 Product and company names such as Garmin, Avidyne, Dynon, Aspen, JPI, EI and ForeFlight are trademarks of their respective owners. They appear only to identify compatible products or file formats. Their use does not mean any of those companies is affiliated with, sponsors, or endorses Valkyr360 or Hill Systems.

7. Subscriptions, free trials and billing

7.1 Pricing. The Service is billed per aircraft, per month, at the price for each aircraft's class as shown on the sign-up or billing page when you subscribe or add the aircraft. Your total monthly charge is the sum of the prices for the aircraft on your account. Before you are charged, you will see:

7.2 Automatic renewal. Your subscription renews automatically every month, and we will charge your payment method each month at the then-current price for the aircraft on your account, until you cancel. You can cancel anytime in Settings (see Section 8). We will ask for your express consent to these automatic-renewal terms, with a checkbox that is not pre-checked, before we collect payment. We will then send you an acknowledgment, which you can keep, that includes:

If we offer plans billed less often than monthly (for example, annually), we will show those terms at sign-up and send any advance renewal notice required by law.

7.3 Free trial. We may offer a free trial for the length shown at sign-up. Before you start, we will clearly tell you:

Unless you cancel before the trial ends, your paid subscription starts automatically and your payment method will be charged. Where required by law, or if the trial is longer than 31 days, we will remind you before it ends. Trials are limited to one per customer unless we agree otherwise.

7.4 Adding or removing aircraft. If you add an aircraft or move it to a higher-priced class during a paid billing period, we charge a prorated amount for the rest of that period. If you remove an aircraft or move it to a lower-priced class during a paid billing period, we credit the prorated unused amount to your next invoice. The new price applies in full from the next period. Changes during a free trial are not prorated. The billing screen shows the effect of a change before you confirm it.

7.5 Price changes. We may change prices. We will give you at least 30 days' notice by email and in the Service. A new price applies only from your first renewal after the notice period ends. If you don't agree, you can cancel before then. If you stay subscribed after the new price takes effect, you accept it.

7.6 Payment. You authorize us and our payment processor to charge the payment method on file for all fees and applicable taxes when due. Card and bank details are handled by our payment processor. Hill Systems does not store your full card number. Larger operators may be invoiced by agreement. Invoices are due as stated on the invoice.

7.7 Failed payments. If a payment fails, we will notify you and may retry the charge. If payment is still not received 14 days after our first notice, we may limit the account to read-only or suspend it until payment is made. We will not delete your data because of a failed payment without first giving you the notice described in Section 10.

7.8 Charges without consent. If we charged you for an automatic renewal without first getting your consent as described in Section 7.2, contact us within 7 days of the charge and we will refund it.

8. Cancellation and refunds

8.1 Cancel anytime, online. The account owner can cancel at any time in Settings → Subscription → Cancel subscription, then confirm with Cancel subscription. Cancelling stops renewal immediately, and you will not be charged again. You do not need to call, email or speak with anyone to cancel. We will confirm the cancellation by email. You may also cancel by emailing us at the contact address in Section 23.

8.2 What happens after you cancel. You keep full access until the end of the period you have already paid for. After that:

Our data retention and deletion are described in Section 10.

8.3 Cancelling during a free trial. If you cancel before your free trial ends, you will not be charged.

8.4 Refunds. Fees are charged in advance and are non-refundable, and we do not give refunds or credits for partial billing periods or unused aircraft slots, except:

9. Taxes

Prices do not include taxes unless stated. You are responsible for sales, use and similar taxes on the Service, other than taxes on our income. Remotely accessed software is subject to Tennessee sales tax. We will charge Tennessee sales tax, and any other state or local tax we are required to collect, based on your billing or primary business address. If you claim a tax exemption, you must give us a valid exemption certificate.

10. Your data

10.1 You own your data. "Customer Data" means the information, records, files, scans, images and other content that you or your users enter, upload or import into the Service. As between you and Hill Systems, you own your Customer Data.

10.2 License to us. You give Hill Systems a non-exclusive, worldwide, royalty-free license to host, store, copy, back up, process, transmit and display Customer Data, but only as needed to:

We may create aggregated, de-identified statistics that do not identify you, your users or your aircraft, and use them to operate and improve the Service. We do not sell Customer Data.

10.3 Your responsibilities. You confirm that you have the rights and permissions needed to upload Customer Data, including any personal information about other people, and that the data does not violate any law or anyone else's rights.

10.4 Export. While your account is active or read-only, the account owner can export Customer Data using the Service's export tools (for example, CSV and printable reports). Documents and scans can be downloaded in the formats you uploaded them in.

10.5 Retention and deletion. After a cancelled or unpaid subscription ends, we keep your account read-only for [180] days. If you have not resubscribed by then, we will email the account owner at least 30 days before deleting Customer Data. After that we may permanently delete it. The account owner can also ask us to delete the account and its Customer Data sooner. Residual copies in backups are overwritten in the normal backup cycle, and we may keep limited records where the law requires us to, such as billing and tax records. Export anything you need before deletion. We cannot recover deleted data.

10.6 Back up your own data. You are responsible for keeping your own copies of your official records and any Customer Data that matters to you.

11. Staff access to accounts

11.1 Authorized Hill Systems personnel may access your account and Customer Data, including a read-only "view as" mode that shows the account the way you see it, only when reasonably needed to:

11.2 Staff access is limited to personnel who need it, is logged with the staff member, time and account, and is subject to confidentiality obligations. Staff do not change your records while in read-only view. Any changes made at your request will be described to you.

11.3 We may disclose Customer Data if required by law, subpoena or court order. Where the law allows, we will try to notify you first.

12. Privacy

Our Privacy Policy explains how we collect, use and share personal information. It is part of these Terms. If you add personal information about other people, such as users, crew or co-owners, you are responsible for having a lawful basis to do so and for giving them any notices the law requires.

13. Acceptable use

You and your users must not:

  1. use the Service for anything unlawful, fraudulent, or harmful, or to falsify aircraft records;
  2. copy, modify, reverse engineer, decompile or disassemble the Service, or try to obtain its source code, except where the law expressly allows it despite this restriction;
  3. access accounts or data you are not authorized to access, probe or test the Service's security without our written permission, or bypass any access control or usage limit;
  4. upload malware or interfere with the Service or other customers;
  5. scrape the Service, use bots to overload it, or resell, sublicense or provide it to third parties as a service bureau without our written agreement;
  6. upload or store technical data controlled under the International Traffic in Arms Regulations (ITAR), or technology or software controlled under the Export Administration Regulations (EAR) for reasons other than anti-terrorism, including military aircraft technical data that is not public;
  7. use or access the Service from, or for the benefit of, any country or region under comprehensive U.S. sanctions, or any person on a U.S. government restricted-party list, or export or re-export the Service in violation of U.S. export and sanctions laws;
  8. upload content that infringes anyone's intellectual property, privacy or other rights; or
  9. use the Service to build a competing product, or benchmark it for publication without our written consent.

You represent that you and your users are not located in a sanctioned country or region and are not on any U.S. restricted-party list.

14. Our intellectual property and feedback

14.1 Hill Systems and its licensors own the Service, including its software, design, text, graphics and the Valkyr360 and Hill Systems names and logos. Subject to these Terms and payment of fees, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal aircraft management purposes during your subscription. All rights not expressly granted are reserved.

14.2 If you send us suggestions or feedback, we may use them without restriction or payment to you.

15. Availability, changes to the Service and backups

15.1 We work to keep the Service available and to back up data regularly. However, the Service, its uptime and our backups are provided as is. There is no service level agreement (SLA), uptime commitment or guaranteed recovery point unless Hill Systems agrees to one in a signed writing.

15.2 The Service may be unavailable because of:

Do not depend on the Service as your only way to know when maintenance, an inspection or an AD action is due.

15.3 We may change, add or remove features. If we remove a feature that is material to your paid use, we will give reasonable notice, and you may cancel.

16. Suspension and termination

16.1 By you. You may cancel at any time as described in Section 8.

16.2 Suspension by us. We may suspend or limit access, with notice where practical, if:

We will restore access once the issue is resolved.

16.3 Termination by us for cause. We may terminate your account if you materially breach these Terms and do not cure the breach within 14 days after notice, or immediately for serious breaches such as sanctions violations, fraud, or attacks on the Service.

16.4 Termination for convenience. We may discontinue the Service or your account for any other reason with at least 30 days' notice. If we do, we will refund any prepaid fees for the period after termination, and you will have at least that notice period to export your data.

16.5 Effect. When access ends, your right to use the Service stops, except for any read-only and export access described in Sections 8 and 10. Amounts owed before termination remain payable.

17. Disclaimer of warranties

17.1 THE SERVICE, INCLUDING ALL CONTENT, CALCULATIONS, STATUSES, REMINDERS, REPORTS, IMPORTS, THIRD-PARTY DATA, BACKUPS AND SUPPORT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.

17.2 TO THE FULLEST EXTENT PERMITTED BY LAW, HILL SYSTEMS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING:

17.3 IN PARTICULAR, HILL SYSTEMS DOES NOT WARRANT THAT:

17.4 SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Limitation of liability

18.1 TO THE FULLEST EXTENT PERMITTED BY LAW, HILL SYSTEMS AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY OF THE FOLLOWING, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS:

THIS APPLIES WHETHER THE CLAIM IS IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

18.2 TO THE FULLEST EXTENT PERMITTED BY LAW, HILL SYSTEMS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID HILL SYSTEMS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. IF YOU PAID NOTHING, FOR EXAMPLE DURING A FREE TRIAL, THE LIMIT IS ONE HUNDRED U.S. DOLLARS ($100).

18.3 What this section does not limit. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. That includes, where Tennessee or other applicable law so provides, liability for Hill Systems' gross negligence, willful or intentional misconduct, or fraud. It also does not limit your obligation to pay fees or your obligations under Section 19.

18.4 These limits are an essential part of the bargain between us and are reflected in our prices. They apply even if a limited remedy fails of its essential purpose.

18.5 Unless the law requires a longer period, any claim against Hill Systems must be brought within one year after it arises.

19. Your indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless Hill Systems and its owners, members, officers, employees and contractors from and against third-party claims, and the resulting losses, damages, fines, costs and reasonable attorneys' fees, arising out of:

This indemnity does not apply to the extent a claim is caused by Hill Systems' gross negligence or willful misconduct. We will notify you of any claim promptly, let you control the defense, and cooperate reasonably at your expense. You may not settle a claim that imposes obligations on us without our consent.

20. Changes to these Terms

20.1 We may update these Terms. If a change is material, we will tell account owners by email and in the Service at least 30 days before it takes effect, unless the change is required sooner by law or is needed to address security or abuse. Other changes take effect when posted. The "Last updated" date at the top shows the latest version.

20.2 If you don't agree to a change, you can cancel before it takes effect. If you keep using the Service after the effective date, you accept the updated Terms. Changes do not apply to disputes that arose before the change.

21. Disputes and governing law

21.1 Talk to us first. Before filing a claim, the party with the dispute must send the other a written notice describing it and the relief requested. Notices to us go to the contact in Section 23. The parties will try in good faith to resolve the dispute informally for 30 days after notice. Either party may still seek urgent injunctive relief to protect its intellectual property or data, or to stop unauthorized use of the Service.

21.2 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The UN Convention on Contracts for the International Sale of Goods does not apply.

21.3 Courts. If informal resolution fails, any lawsuit must be brought exclusively in the state courts of Humphreys County, Tennessee, or the United States District Court for the Middle District of Tennessee. Each party consents to the personal jurisdiction and venue of those courts.

21.4 Small claims. Either party may bring an individual claim in a small-claims court, such as a Tennessee General Sessions Court, if the claim qualifies there.

21.5 Consumer rights. If you use the Service as a consumer for personal, family or household purposes, nothing in this Section 21 takes away any right you have under the consumer protection laws of the state where you live that cannot be waived by contract.

22. General terms

22.1 Entire agreement. These Terms, the Privacy Policy, and any order form or written agreement signed by Hill Systems are the entire agreement between you and Hill Systems about the Service. They replace any prior agreements on the same subject. If a signed agreement conflicts with these Terms, the signed agreement controls. Terms in your purchase orders do not apply.

22.2 Assignment. You may not assign or transfer these Terms without our written consent, which we will not unreasonably withhold for a sale of your business or fleet. We may assign these Terms, without your consent, to an affiliate or to a successor in a merger, acquisition, reorganization or sale of the business or assets related to the Service, including a new legal entity formed to operate Hill Systems. We will notify you of any assignment.

22.3 Force majeure. Neither party is liable for delay or failure to perform, other than payment obligations, caused by events beyond its reasonable control. Examples include:

22.4 Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest will remain in effect.

22.5 No waiver. Not enforcing a provision does not waive our right to enforce it later.

22.6 Notices. We may send notices to the account owner's email address on file or post them in the Service. Email notices are effective when sent. Notices to Hill Systems must be sent to the email address in Section 23 and are effective when received. You agree to receive agreements, notices and disclosures electronically.

22.7 Independent parties. The parties are independent contractors. These Terms do not create a partnership, agency or employment relationship, and there are no third-party beneficiaries.

22.8 Export and government use. The Service is commercial software and services. U.S. government users receive only the rights described in these Terms.

22.9 Survival. The following sections survive termination or expiration: 4, 5, 6, 9, 10.5, 10.6, 13, 14, 16.5, 17, 18, 19, 21 and 22, together with any payment obligations and any other terms that by their nature should survive.

22.10 Headings. Headings and the Key points summary are for convenience only. If the summary differs from the numbered sections, the numbered sections control.
